Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Your purchase is also subject to the Paddle Buyer Terms and the Paddle Refund Policy.
1. Who we are
These Terms and Conditions (“Terms”) are issued by OfferzGo (“OfferzGo,” “we,” “us,” “our”), the creator and supplier of the Payout Close Kit (the “Product”).

These Terms apply to the firm that purchases the Product (“you,” “your,” the “Firm”) and to every person who uses the Product on the Firm’s behalf. By completing a purchase, you confirm that you have read and accept these Terms and our Refund Policy, and that you are authorized to accept them on behalf of the Firm.
2. Paddle is the reseller and Merchant of Record
All orders are processed by Paddle.com, which acts as our authorized reseller and as the Merchant of Record. This means that you buy the Product from Paddle, and Paddle handles payment, invoicing and receipts, applicable sales tax, refunds and order-related customer service. For buyers in the United States, the Paddle contracting entity named in the Paddle Buyer Terms is Paddle.com Inc.
The purchase transaction is governed by the Paddle Buyer Terms. Your license to use the Product, and your use of it, are governed by these Terms. OfferzGo does not collect payments, issue invoices or process refunds directly.
3. The Product
The Payout Close Kit is a downloadable digital product for bookkeeping and accounting firms that reconcile Shopify Payments and Amazon payouts in QuickBooks Online or Xero. It contains:
- a reconciliation workbook (Microsoft Excel format, compatible with Google Sheets, no macros);
- a PDF guide (monthly close procedure and variance troubleshooting);
- a suggested account mapping table (CSV);
- a README file.
You receive the version of the Product available on the date of your purchase. The Product is intended for business use by professional firms. It is not intended for personal, family or household use.
4. Price and payment
The price is USD 199, paid once. It is not a subscription and there are no recurring charges. Payment is collected by Paddle at checkout. Any applicable sales tax is determined and collected by Paddle and shown to you before you pay.
5. Digital delivery
The Product is delivered digitally only, as a downloadable ZIP file, once Paddle has confirmed your payment. No physical item is shipped. If you do not receive access to the download, contact us at contact@offerzgo.com with your Paddle order number.
6. License
The Product is licensed, not sold. Subject to these Terms and to payment of the price, OfferzGo grants the Firm a non-exclusive, non-transferable, non-sublicensable license to use the Product, for a single firm:
- Internal use: the Firm’s owners, employees and contractors working for the Firm may use the Product for the Firm’s work.
- Use for the Firm’s own clients: the Firm may use the Product to perform bookkeeping and reconciliation work for its own clients, and may share with those clients the results of that work (for example, reconciliation reports or completed schedules).
You may not, in original or modified form, in whole or in part:
- resell, rent, lease, sublicense or otherwise commercialize the Product or any of its files;
- redistribute, share, publish or make the Product or its files available to anyone outside the Firm, including other firms, clients (as a template or tool), online communities, marketplaces or file-sharing services;
- include the Product or its files in another product, template pack, course or service offered to third parties;
- remove or alter the copyright, trademark or license notices in the Product.
If the Firm needs to use the Product for another firm or entity, that firm or entity must purchase its own license.
7. Ownership
OfferzGo retains all rights, title and interest, including copyright, in the Product and its files. Except for the license in Section 6, no right is granted to you.
8. No support, no updates, no services
The Product is a one-time digital download. The price does not include support, coaching, training, consulting, implementation, sessions, updates or new versions. We may, at our discretion, answer questions about access to your download or your order, but we have no obligation to provide any other assistance.
9. Not tax, legal or financial advice
The Product supports a bookkeeping workflow only. It is not tax, legal or financial advice, and it does not replace the professional judgment of a qualified professional. In particular:
- Sales tax, marketplace facilitator tax, nexus and any legal or tax question must be handled by a qualified professional for each client.
- Account mappings are suggestions to be adapted to each client’s chart of accounts.
- Sample data in the Product is fictional and does not describe any real business.
- Third-party export formats (Shopify, Amazon and others) can change at any time. The Product is based on public documentation read on the date stated in the Product, and some items are marked “Verify in your account.”
You are responsible for checking every result produced with the Product before relying on it, booking entries or sharing it with a client. We make no promise about results, accuracy of your outputs, time saved or any business outcome.
10. Trademarks and non-affiliation
Shopify, Amazon, Amazon Seller Central, Intuit, QuickBooks, Xero, eBay, Etsy and PayPal are trademarks of their respective owners. Microsoft Excel and Google Sheets are trademarks of Microsoft Corporation and Google LLC, respectively. The Payout Close Kit is an independent product. OfferzGo is not affiliated with, sponsored by or endorsed by any of these companies. Their names are used only to describe compatibility with their exports and software.
11. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Product is provided “as is” and “as available,” without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Product will be error-free, will meet your requirements or will work with every export file, software version or configuration.
This section does not affect your rights under our Refund Policy, the Paddle Refund Policy, or any rights that cannot be excluded under applicable law.
12. Limitation of liability
To the maximum extent permitted by applicable law: (a) OfferzGo will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, clients, goodwill or data, or any penalties, interest or tax assessments, arising out of or related to the Product or these Terms, even if advised of the possibility of such damages; and (b) OfferzGo’s total liability arising out of or related to the Product or these Terms will not exceed the amount you paid for the Product.
Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above may not apply to you. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
13. Refunds
Refunds are handled by Paddle as Merchant of Record. See our Refund Policy and the Paddle Refund Policy.
14. Termination of the license
Your license ends automatically if you breach Section 6, or if your purchase is refunded or reversed (including through a chargeback). When your license ends, you must stop using the Product and delete all copies of it in your possession or control.
15. Governing law
These Terms are governed by the laws of the State of New York, United States, without regard to its conflict of laws rules. The courts located in New York County, New York will have jurisdiction over any dispute arising out of or related to these Terms, except where applicable law gives you the right to bring a claim elsewhere. The purchase transaction with Paddle is governed by the Paddle Buyer Terms.
16. Changes to these Terms
We may update these Terms from time to time. The version published on the date of your purchase applies to that purchase. The date at the top of this page shows when these Terms were last updated.
